Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and EJW LLC ("EJW," "we," "us," or "our"), governing your access to and use of our website at ejwllc.com, our product portal at voice.ejwllc.com, and all related applications, services, and tools (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

Description of Services

EJW LLC develops and operates AI-powered software applications designed for businesses and consumers. Our product suite includes:

• EJW Voice: An AI-powered receptionist and voice agent platform for businesses, available at voice.ejwllc.com.
• Life Coach AI: A therapeutic AI companion for mental wellness support.
• MAC (Legal AI): A legal malpractice analysis and case management tool.
• MyCrashApp: An accident documentation and insurance claims assistance application.
• Trading Fanatics: A stock trading platform with AI-powered analysis.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice.

Eligibility

You must be at least 18 years old and capable of forming a binding legal agreement to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

User Accounts

Certain features of our Services require you to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate and current.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities that occur under your account.

Waitlist Terms

Some of our applications may be available on a waitlist basis prior to general availability. By joining a waitlist, you understand and agree that:

• Joining a waitlist does not guarantee access to the application.
• Access is granted at our sole discretion and may depend on factors including your submitted use case, interest level, and the order in which you signed up.
• We may contact you at the email address you provide with updates about your waitlist status and the application.
• Waitlist positions are non-transferable.
• We reserve the right to modify or cancel a waitlist at any time.

Subscriptions and Payments

Certain Services may require a paid subscription. If you purchase a subscription, the following terms apply:

• Billing: Subscriptions are billed on a recurring basis (monthly or annually) as specified at the time of purchase. Payment is processed through Stripe.
• Renewal: Subscriptions automatically renew unless canceled before the end of the current billing period.
• Cancellation: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.
• Refunds: Refund requests are evaluated on a case-by-case basis. We are not obligated to provide refunds except as required by applicable law.
• Price changes: We reserve the right to change subscription pricing. You will be notified of any price changes at least 30 days before they take effect.

Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates any applicable federal, state, local, or international law or regulation.
• Attempt to gain unauthorized access to any part of the Services, other accounts, computer systems, or networks connected to the Services.
• Interfere with or disrupt the integrity or performance of the Services or the data contained therein.
• Use any automated system, including bots, scrapers, or data mining tools, to access or interact with the Services without our express written permission.
• Transmit any viruses, malware, or other harmful code through the Services.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
• Use the Services to engage in harassment, abuse, or any conduct that is harmful to others.

Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio, video, software, and the underlying code, are the exclusive property of EJW LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business use, subject to these Terms. This license does not include the right to:

• Modify, copy, distribute, or create derivative works based on the Services.
• Reverse engineer, decompile, or disassemble any part of the Services.
• Remove any copyright, trademark, or other proprietary notices from the Services.
• Use any EJW LLC trademarks, logos, or branding without our prior written consent.

User Content

You may submit content through our Services, including text, data, and other materials ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant EJW LLC a non-exclusive, worldwide, royalty-free license to use, process, and store your User Content solely for the purpose of providing and improving the Services.

You represent and warrant that you own or have the necessary rights to submit your User Content and that your User Content does not infringe the rights of any third party.

AI-Generated Content Disclaimer

Our Services utilize artificial intelligence to generate content, recommendations, and analysis. While we strive for accuracy and usefulness, AI-generated content:

• Is provided for informational purposes only and should not be considered professional advice (legal, medical, financial, or otherwise).
• May contain errors, inaccuracies, or outdated information.
• Should be independently verified before relying on it for any important decision.
• Does not establish a professional-client relationship of any kind.

You acknowledge that you use AI-generated content at your own risk and discretion.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EJW LLC, ITS PARTNERS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your access to or use of (or inability to access or use) the Services.
• Any conduct or content of any third party on the Services.
• Any content obtained from the Services, including AI-generated content.
• Unauthorized access, use, or alteration of your transmissions or content.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Services will be uninterrupted, secure, error-free, or free of viruses or other harmful components. We do not warrant that any AI-generated content will be accurate, complete, or reliable.

Indemnification

You agree to indemnify, defend, and hold harmless EJW LLC, its partners, members, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Services will immediately cease.
• We may delete your account and all associated data in accordance with our Privacy Policy.
• Any provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in North Carolina, and you consent to the personal jurisdiction of such courts.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EJW LLC regarding your use of the Services and supersede all prior agreements, understandings, and communications, whether written or oral.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date.
